DBRS Morningstar Upgrades and Confirms Credit Ratings on Red & Black Auto Lease France 1
AutoDBRS Ratings GmbH (DBRS Morningstar) took the following credit rating actions on the notes (the rated notes) issued by Red & Black Auto Lease France 1 (the Issuer):
-- Class A Notes confirmed at AAA (sf)
-- Class B Notes upgraded to AA (sf) from BBB (high) (sf)
The credit ratings address the timely payment of scheduled interest and the ultimate repayment of principal by the legal final maturity date in October 2033.
The credit rating actions follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the September 2023 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables; and
-- Current available credit enhancement to the rated notes to cover the expected losses at their respective credit rating levels.
The transaction is a securitisation collateralised by lease receivable instalments and other receivables while specifically excluding, among others, the residual value component. The auto lease agreements are characterised as full-service leasing contracts (location long durée) granted by Temsys S.A., whose commercial name is ALD Automotive, to commercial lessees operating in France. The transaction closed in October 2021 and was subject to a revolving period of 12 months, which ended after the 27 October 2022 payment date.
PORTFOLIO PERFORMANCE
As of the September 2023 payment date, loans that were one to two months and two to three months delinquent represented 1.03% and 0.68% of the portfolio balance, respectively. Gross cumulative defaults amounted to 0.9% of the aggregate original portfolio balance, with cumulative recoveries of 46.2% to date.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted an analysis of the pool of receivables and updated its base case PD and LGD assumptions to 3.3% and 34.1%, respectively.
CREDIT ENHANCEMENT
The subordination of the respective junior obligations provides credit enhancement to the rated notes. As of the September 2023 payment date, credit enhancement available to the Class A Notes increased to 26.5% from 14.5% at the last annual review. Credit enhancement available to the Class B Notes increased to 9.1% from 5.0% for the same period.
The rated notes are supported by a general reserve, which is available to cover senior fees, net swap payments, and interest payment shortfalls on the rated notes throughout the life of the transaction. The general reserve was funded at closing with EUR 2.3 million and amortises subject to a target required amount of 0.5% of the outstanding balance of the rated notes. Currently, the general reserve is at its target level of EUR 1.3 million.
Société Générale, S.A. acts as the account bank for the transaction. Based on the account bank reference rating of AA (low) on Société Générale, S.A. (which is one notch below its DBRS Morningstar Long Term Critical Obligations Rating of AA), the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the credit ratings assigned to the rated notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.
All lease receivables are sold using a fixed discount rate while the Class A Notes are indexed to one-month Euribor. Interest rate risk for the Class A Notes is mitigated through an interest rate swap provided by the Royal Bank of Canada (RBC). DBRS Morningstar's Long-Term Issuer Rating of AA (high) on RBC is above the first rating threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.
DBRS Morningstar’s credit ratings on the rated notes address the credit risk associated with the identified financial obligations in accordance with the relevant transaction documents.
DBRS Morningstar’s credit ratings do not address non-payment risk associated with contractual payment obligations contemplated in the applicable transaction documents that are not financial obligations.
DBRS Morningstar’s long-term credit ratings provide opinions on risk of default. DBRS Morningstar considers risk of default to be the risk that an issuer will fail to satisfy the financial obligations in accordance with the term under which a long-term obligation has been issued.
ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS
There were no Environmental/Social/Governance factors that had a significant or relevant effect on the credit analysis.

The last credit rating action on this transaction took place on 27 October 2022, when DBRS Morningstar confirmed its credit rating on Class A Notes at AAA (sf) and upgraded its credit rating on the Class B Notes to BBB (high) (sf) from BBB (low) (sf).

Sensitivity Analysis: To assess the impact of changing the transaction parameters on the credit ratings, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the credit ratings (the base case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the pool of loans for the Issuer are at the B (sf) credit rating level are 3.3% and 34.1%, respectively.
-- The risk sensitivity overview below illustrates the credit ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the credit rating on the Class A Notes would be expected to remain at AAA (sf), assuming no change in the PD. If the PD increases by 50%, the credit rating on the Class A Notes would still be expected to remain at AAA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the credit rating on the Class A Notes would be expected to remain at AAA (sf).
