DBRS Morningstar Upgrades Credit Ratings on Santander Consumer Spain Auto 2021-1 FT
AutoDBRS Ratings GmbH (DBRS Morningstar) upgraded its credit ratings on the notes issued by Santander Consumer Spain Auto 2021-1 FT (the Issuer) as follows:
-- Series A Notes to AA (sf) from AA (low) (sf)
-- Series B Notes to A (high) (sf) from A (sf)
-- Series C Notes to A (low) (sf) from BBB (sf)
-- Series D Notes to BBB (high) (sf) from BBB (low) (sf)
-- Series E Notes to BBB (low) (sf) from BB (sf)
The credit rating on the Series A Notes addresses the timely payment of interest and the ultimate repayment of principal by the legal final maturity date in June 2035. The credit ratings on the Series B Notes, Series C Notes, Series D Notes, and Series E Notes address the ultimate payment of interest and the ultimate repayment of principal by the legal final maturity date.
The upgrades follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the June 2023 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables;
-- Current available credit enhancement to the notes to cover the expected losses at their respective credit rating levels.
The transaction is a securitisation of Spanish auto loan receivables originated and serviced by Santander Consumer Finance., S.A. (SCF). The original portfolio of EUR 575.0 million consisted of loans granted primarily to private individuals for the purchase of both new and used vehicles. The transaction closed in September 2021 and included a 15-month revolving period, which ended in March 2023.
PORTFOLIO PERFORMANCE
As of the June 2023 payment date, loans that were 0 to 30 days, 30 to 60 days, and 60 to 90 days delinquent represented 1.8%, 0.5%, and 0.2% of the outstanding portfolio balance, respectively. Gross cumulative defaults, defined as loans more than 90 days delinquent, amounted to 1.4% of the aggregate initial and subsequent portfolios original balance, 39.4% of which has been recovered to date.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and updated its base case PD and LGD assumptions to 4.9% and 47.7%, respectively, based on the actual portfolio composition following the end of the revolving period in March 2023, which drove the credit rating upgrades.
CREDIT ENHANCEMENT
The subordination of the respective junior obligations provides credit enhancement to the rated notes. As of the June 2023 payment date, credit enhancement to the Series A, Series B, Series C, Series D, and Series E Notes was 11.8%, 6.0%, 2.0%, 1.0%, and 0.0%, respectively. The credit enhancement levels have remained unchanged since DBRS Morningstar’s initial credit ratings as the rated notes have been repaying principal on a pro rata basis following the end of the revolving period, in accordance with the transaction’s priority of payments.
The transaction benefits from liquidity support provided by an amortising cash reserve, available to cover senior expenses and interest payments on the rated notes. The reserve has a target balance equal to 1.0% of the outstanding balance of the Series A to Series E Notes, subject to a floor of EUR 1.44 million. As of the June 2023 payment date, the reserve was at its target balance of EUR 5.22 million.
SCF acts as the account bank for the transaction. Based on DBRS Morningstar's private credit rating on SCF, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the credit ratings assigned to the notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.
Banco Santander SA (Santander) acts as the hedging counterparty in the transaction. DBRS Morningstar's public Long Term Critical Obligations Rating of AA (low) on Santander is consistent with the first rating threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.
DBRS Morningstar’s credit ratings on the rated notes address the credit risk associated with the identified financial obligations in accordance with the relevant transaction documents.
DBRS Morningstar’s credit ratings do not address non-payment risk associated with contractual payment obligations contemplated in the applicable transaction documents that are not financial obligations.
DBRS Morningstar’s long-term credit ratings provide opinions on risk of default. DBRS Morningstar considers risk of defaults to be the risk that an issuer will fail to satisfy the financial obligations in accordance with the term under which a long-term obligation has been issued.
ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS
There were no Environmental/Social/Governance factors that had a significant or relevant effect on the credit analysis.

Sensitivity Analysis: To assess the impact of changing the transaction parameters on the credit ratings, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the credit ratings (the base case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 4.9% and 47.7%, respectively.
-- The risk sensitivity overview below illustrates the credit ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the credit rating on the Series A Notes would be expected to fall to AA (low) (sf), ceteris paribus. If the PD increases by 50%, the credit rating on the Series A Notes would be expected to fall to AA (low) (sf), ceteris paribus. Furthermore, if both the PD and LGD increase by 50%, the rating on the Series A Notes would be expected to fall to A (low) (sf).
