DBRS Morningstar Confirms Rating on Hypenn RMBS VII B.V.
RMBSDBRS Ratings GmbH (DBRS Morningstar) confirmed its AAA (sf) rating on the Class A Notes issued by Hypenn RMBS VII B.V. (the Issuer).
The rating addresses the timely payment of interest and the ultimate repayment of principal on or before the legal final maturity date in June 2052.
The confirmation follows an annual review of the transaction and is based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses.
-- Portfolio default rate (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables.
-- Current available credit enhancement to the notes to cover the expected loss at the AAA (sf) rating level.
The Issuer is a bankruptcy-remote special-purpose vehicle incorporated in the Netherlands. The proceeds from the issuance of the notes were used to fund the purchase of residential mortgage loans sold by Nationale-Nederlanden Bank N.V. and granted by Amstelhuys B.V. in the Netherlands.
PORTFOLIO PERFORMANCE
As of May 2023, loans two to three months in arrears represented 0.1% of the outstanding portfolio balance, the 90+ delinquency ratio was 0.0%, and the cumulative default ratio was 0.0%.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and maintained its base case PD and LGD assumptions at 1.0% and 6.9%, respectively.
CREDIT ENHANCEMENT
As of the April 2023 payment date, credit enhancement to the Class A Notes was 8.6%, up from 7.2% 12 months prior.
Credit enhancement is provided by the subordination of the Class B Notes, which DBRS Morningstar does not rate, and a nonamortising reserve fund. The reserve fund is currently at its target level of EUR 2.1 million, and is available to cover senior fees, interest, and principal payments (via the principal deficiency ledgers) on the Class A Notes.
The Class A Notes additionally benefit from a 364-day renewable cash advance facility provided by BNG Bank B.V. The maximum drawdown on the facility is EUR 5.0 million.
BNG Bank N.V. acts as the account bank for the transaction. Based on the DBRS Morningstar private rating of BNG Bank N.V., the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the Class A Notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS
Social (S) Factors
DBRS Morningstar considers the Nationale Hypotheek Garantie (NHG) guarantee, which backs 50.9% of the current collateral pool, to be a relevant social factor (Social Impact of Product & Services) as outlined in the “DBRS Morningstar Criteria: Approach to Environmental, Social, and Governance Risk Factors in Credit Ratings”. DBRS Morningstar assumed reduced loss severity for loans backed by an NHG guarantee as outlined in its “European RMBS Insight: Dutch Addendum” methodology. Sensitivity Analysis: To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the Base Case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer at the B (sf) rating level are 1.0% and 6.9%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating on the Class A Notes would be expected to remain at AAA (sf), assuming no change in the PD. If the PD increases by 50%, the rating on the Class A Notes would be expected to remain at AAA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating on the Class A Notes would be expected to remain at AAA (sf).
