DBRS Morningstar Confirms Ratings on Grecale RMBS 2015 S.r.l.
RMBSDBRS Ratings GmbH (DBRS Morningstar) confirmed its ratings on the notes issued by Grecale RMBS 2015 S.r.l. (the Issuer) as follows:
-- Class A Notes at AAA (sf)
-- Class B Notes at AA (high) (sf)
-- Class C Notes at AA (high) (sf)
The rating on the Class A Notes addresses the timely payment of interest and the ultimate payment of principal by the final maturity date. The ratings on the Class B and Class C Notes address the ultimate payment of interest and principal by the final maturity date in December 2067.
The confirmations follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the September 2022 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables; and
-- Current available credit enhancement to the rated notes to cover the expected losses at their respective rating levels.
The transaction is a securitisation of Italian first-lien residential mortgage loans originated by Unipol Banca S.p.A. (Unipol Banca) and Banca SAI S.p.A. In November 2019, BPER Banca S.p.A. (BPER) completed the acquisition of Unipol Banca, taking over the servicing of the collateral portfolio. Zenith Service S.p.A. currently acts as backup servicer for the transaction.
PORTFOLIO PERFORMANCE
As of the August 2022 cut-off date, loans that were two to three months in arrears and 90+ days in arrears represented 0.4% and 0.6% of the outstanding portfolio balance, respectively, down from 0.5% and 2.0%, respectively, as of the August 2021 cut-off date. The gross cumulative default ratio stood at 1.9% of the initial portfolio balance, slightly up from 1.7% at the last annual review.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and updated its base case PD and LGD assumptions to 6.9% and 10.7%, respectively.
CREDIT ENHANCEMENT
Overcollateralisation of the outstanding collateral portfolio provides credit enhancement to the rated notes. As of the September 2022 payment date, credit enhancement to the Class A, Class B, and Class C Notes was 91.2%, 68.8%, and 57.6%, respectively, up from 76.6%, 57.4%. and 47.8%, respectively, as of the September 2021 payment date.
The transaction benefits from an amortising cash reserve, which is available to cover shortfalls on senior fees, expenses, swap payments, and interest payments on the Class A Notes only. As of the September 2022 payment date, the cash reserve was at its target level of EUR 5.7 million, which is its floor level.
BNP Paribas, Italian Branch and BNP Paribas, UK Branch act as the Italian and English account banks for the transaction, respectively (the account banks). Based on DBRS Morningstar’s AA reference rating on their parent company, BNP Paribas SA (which is one notch below its DBRS Morningstar Long Term Critical Obligations Rating of AA (high)), the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account banks to be consistent with the ratings assigned to the notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.
J.P. Morgan Securities plc acts as the swap counterparty to the transaction. The transaction benefits from three swap agreements, namely a fixed-floating swap and two basis swaps (one on floating-rate loans and the other on capped floating-rate loans). While DBRS Morningstar’s private rating on the swap counterparty is consistent with both the first and second rating thresholds, as defined in DBRS Morningstar’s “Derivative Criteria for European Structured Finance Transactions” methodology, the swap documents are only partially compliant with that same methodology.
The swap counterparty’s obligations under the swap agreements are guaranteed by JPMorgan Chase Bank N.A.
ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS
There were no Environmental/Social/Governance factors that had a significant or relevant effect on the credit analysis.

At the time of the initial ratings, DBRS Morningstar was supplied with third-party assessments. However, this did not impact the rating analysis.

Sensitivity Analysis: To assess the impact of changing the transactions parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the base case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 6.9% and 10.7%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the ratings of the Class A Notes would be expected to remain at AAA (sf), assuming no change in the PD. If the PD increases by 50%, the ratings of the Class A Notes would be expected to remain at AAA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the ratings of the Class A Notes would also be expected to remain at AAA (sf).
