DBRS Morningstar Upgrades Ratings on Sunrise SPV 93 S.r.l.- Sunrise 2021-2
Consumer Loans & Credit CardsDBRS Ratings GmbH (DBRS Morningstar) upgraded its ratings on the notes (the rated notes) issued by Sunrise SPV 93 S.r.l. - Sunrise 2021-2 (the Issuer) as follows:
-- Class A Notes to AAA (sf) from AA (high) (sf)
-- Class B Notes to AA (sf) from A (high) (sf)
-- Class C Notes to A (sf) from BBB (high) (sf)
-- Class D Notes to BBB (high) (sf) from BBB (sf)
-- Class E Notes to BBB (low) (sf) from BB (high) (sf)
The rating on the Class A Notes addresses the timely payment of scheduled interest and the ultimate repayment of principal by the legal final maturity date in October 2046. The ratings on the Class B Notes, Class C Notes, Class D Notes, and Class E Notes address the ultimate payment of scheduled interest while subordinated but the timely payment of scheduled interest as the most-senior class and the ultimate repayment of principal by the legal final maturity date.
The upgrades follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the September 2022 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables;
-- No early termination event to date; and
-- Current available credit enhancement to the rated notes to cover the expected losses at their respective rating levels.
The transaction is a securitisation of unsecured Italian consumer loan receivables underwritten to retail clients and originated by Agos Ducato S.p.A., which also acts as the servicer for the transaction portfolio. The EUR 847.6 million portfolio, as of the September 2022 payment date, comprised new and used auto loans, personal loans, furniture loans, and other-purpose loans. The majority of loans in the portfolio (69.9%) are flexible loans that allow the borrower to skip one monthly instalment per year (up to a maximum of five times during the life of the loan) and modify the monthly instalment amounts. The transaction closed in October 2021 and included an initial one-year revolving period, which is scheduled to end on the November 2022 payment date.
PORTFOLIO PERFORMANCE
As of the September 2022 payment date, loans that were one to two months and two to three months delinquent represented 0.4% and 0.1% of the portfolio balance, respectively, while loans more than three months delinquent represented 0.3%. Gross cumulative defaults amounted to 0.6% of the aggregate original portfolio balance, with cumulative recoveries of 2.4% to date.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted an analysis of the pool of receivables and updated its base case PD and LGD assumptions to 6.2% and 88.5%, respectively, from 6.7% and 87.8% at closing, respectively, based on updated historical vintage data that the originator received and on the current portfolio composition given the upcoming end of the revolving period on the next payment date.
CREDIT ENHANCEMENT
The subordination of the respective junior obligations and the cash reserve provides credit enhancement to the rated notes. As of the September 2022 payment date, credit enhancements to the Class A Notes, Class B Notes, Class C Notes, Class D Notes, and Class E Notes were 31.3%, 21.5%, 12.8%, 8.6%, and 6.0%, up from 29.5%, 19.8%, 11.2%, 7.1%, and 4.5% at closing, respectively. The increase in credit enhancements is due to the increase of the cash reserve amount since closing.
The transaction benefits from several funded reserves. The nonamortising payment interruption risk reserve account with a current balance of EUR 4.2 million is available to cover senior expenses and interest payments on the rated notes, providing liquidity support to the transaction. Credit support is provided through an amortising cash reserve with a target balance equal to 2.5% of the outstanding performing collateral principal. The current balance of the cash reserve is EUR 21.1 million, which can be used to offset the principal losses of defaulted receivables. All reserves are currently at their target levels.
The transaction structure additionally provisions for a rata posticipata cash reserve, which mitigates the liquidity risk arising from flexible loans. This reserve will only be funded if, for two consecutive payment dates, the outstanding balance of the flexible loans in relation to which the debtors have exercised the contractual right to postpone the payments is higher than 5% of the outstanding balance of all flexible loans. As of the September 2022 payment date, this condition had not been breached.
Crédit Agricole Corporate and Investment Bank (CA-CIB) acts as both the account bank and swap counterparty for the transaction. Based on DBRS Morningstar’s private rating on CA-CIB, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank and the swap provider to be consistent with the ratings assigned to the rated notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" and “Derivative Criteria for European Structured Finance Transactions” methodologies.
ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS
There were no Environmental/Social/Governance factors that had a significant or relevant impact on the credit analysis.

The sources of data and information used for these ratings include investor reports provided by CA-CIB and loan-level data provided by the European DataWarehouse GmbH. In the context of a newer transaction from the same originator, DBRS Morningstar was provided with updated historical performance data as follows:
-- Static prepayment rates by annual vintages from 2003 to 2022;
-- Monthly dynamic arrears and default data from June 2008 to March 2022;
-- Quarterly static default data from Q1 2012 to Q1 2022; and
-- Quarterly static recovery data from Q1 2012 to Q1 2022.
DBRS Morningstar did not rely upon third-party due diligence in order to conduct its analysis.
At the time of the initial ratings, DBRS Morningstar was supplied with third-party assessments. However, this did not impact the rating analysis.

Sensitivity Analysis: To assess the impact of changing the transaction parameters on the ratings, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the ratings (the base case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the pool of loans for the Issuer are 6.2% and 88.5%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A Notes would be expected to remain fall to AA (high) (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A Notes would be expected to fall to AA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A Notes would be expected fall to AA (low) (sf).
