DBRS Morningstar Upgrades and Confirms Ratings on Cartesian Residential Mortgages 5 S.A.

DBRS Ratings GmbH (DBRS Morningstar) upgraded and confirmed its ratings of the Class A, Class B, Class C, and Class D Notes (together, the Rated Notes) issued by Cartesian Residential Mortgages 5 S.A. (the Issuer) as follows:

-- Class A Notes confirmed at AAA (sf)
-- Class B Notes confirmed at AA (high) (sf)
-- Class C Notes upgraded to AA (low) (sf) from A (high) (sf)
-- Class D Notes upgraded to A (high) (sf) from A (sf)

The rating of the Class A Notes addresses the timely payment of interest and the ultimate repayment of principal by the legal final maturity date in November 2025. The ratings of the Class B and Class C Notes address the ultimate payment of interest while junior, the timely payment of interest when they become the most senior class of notes outstanding, and the ultimate repayment of principal by the legal final maturity date. The rating of the Class D Notes addresses the ultimate payment of interest and principal by the legal final maturity date.

The rating actions follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the May 2022 payment date.
-- Portfolio default rate (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables.
-- Current available credit enhancement to the notes to cover the expected losses at their respective rating levels.

The Issuer is a securitisation of prime Dutch residential mortgage loans granted by Venn Hypotheken B.V. in the Netherlands. The portfolio is serviced by Venn Hypotheken B.V.; however, primary servicing responsibilities were delegated to Stater Nederland B.V. and special servicing responsibilities were delegated to HypoCasso B.V.

PORTFOLIO PERFORMANCE
As of the May 2022 payment date, loans two to three months in arrears and loans more than three months in arrears both represented 0.0% of the outstanding portfolio balance, stable since May 2021. The cumulative default ratio was 0.0%.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and updated its base case PD and LGD assumptions at the B (sf) rating level to 2.3% and 12.1%, respectively.

CREDIT ENHANCEMENT
As of the May 2022 payment date, credit enhancement to the Class A, Class B, Class C, and Class D Notes was 11.5%, 7.1%, 5.1%, and 4.2%, respectively, up from 10.4%, 6.3%, 4.5% and 3.8%, respectively, at the DBRS Morningstar initial rating.

The transaction benefits from a reserve fund of EUR 4.4 million. The entire reserve fund is available to cover senior fees, senior swap payments, interest shortfalls on the Class A and Class B Notes, and the Class A principal deficiency ledger (PDL) before being replenished to its first target level (1.3% of the outstanding Class A and Class B Notes balance). The remaining reserve balance is available to cover interest shortfalls on the Class C and Class D Notes in addition to the PDLs on the Class B, Class C, and Class D Notes before being replenished to its second target level (1.6% of the outstanding Class A to Class E Notes balance, subject to a floor of 80% of the second target level at closing).

Citibank Europe plc - Luxembourg Branch (Citibank) acts as the account bank for the transaction. Based on the DBRS Morningstar private rating of Citibank, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the Class A Notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

BNP Paribas SA acts as the swap counterparty for the transaction. DBRS Morningstar's public Long Term Critical Obligations Rating of BNP Paribas SA at AA (high) is consistent with the First Rating Threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.

ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS
There were no Environmental/Social/Governance factors that had a significant or relevant impact on the credit analysis.

DBRS Morningstar has applied the principal methodology consistently and conducted a review of the transaction in accordance with the principal methodology.

A review of the transaction legal documents was conducted in November 2021 in the context of an amendment to the servicing agreement. A review of the other transaction legal documents was not conducted as these have remained unchanged since the most recent rating action.

DBRS Morningstar did not rely upon third-party due diligence in order to conduct its analysis.

At the time of the initial ratings, DBRS Morningstar was supplied with third-party assessments. However, this did not impact the rating analysis.

The last rating action on this transaction took place on 3 August 2021, when DBRS Morningstar confirmed its rating of the Class A Notes at AAA (sf), and upgraded its ratings of the Class B, Class C, and Class D Notes to AA (high) (sf), A (high) (sf), and A (sf) from AA (sf), A (sf), and BBB (high) (sf), respectively.

Sensitivity Analysis: To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the Base Case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer at the B (sf) rating level are 2.3% and 12.1%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A Notes would be expected to remain at AAA (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A Notes would be expected to remain at AAA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A Notes would be expected to fall to AA (sf).
