DBRS Morningstar Upgrades and Confirms Ratings on Three Finance Ireland RMBS Transactions

The rating on the Class A notes of Finance Ireland 1 addresses the timely payment of interest and the ultimate payment of principal on or before the legal final maturity date in June 2058. The ratings on the Class B, Class C, Class D, and Class E notes address the ultimate payment of interest and principal on or before the legal final maturity date while junior, and timely payment of interest while the senior-most class outstanding.
The rating on the Class A notes of Finance Ireland 2 addresses the timely payment of interest and the ultimate payment of principal on or before the legal final maturity date in September 2060. The ratings on the Class B, Class C, and Class D notes address the ultimate payment of interest and principal on or before the legal final maturity date while junior, and timely payment of interest while the senior-most class outstanding. The ratings on the Class E and Class F notes address the ultimate payment of interest and principal on or before the legal final maturity date.
The rating on the Class A notes of Finance Ireland 3 addresses the timely payment of interest and the ultimate payment of principal on or before the legal final maturity date in June 2061. The ratings on the Class B, Class C, Class D, and Class E notes address the ultimate payment of interest and principal on or before the legal final maturity date while junior, and timely payment of interest while the senior-most class outstanding. The ratings on the Class F and Class X notes address the ultimate payment of interest and principal on or before the legal final maturity date.
Additionally, DBRS Morningstar removed the Under Review with Positive Implications (UR-Pos.) status on the Class B, Class C, Class D, and Class E notes of Finance Ireland 1, the Class B, Class C, Class D, Class E, and Class F notes of Finance Ireland 2, and the Class B, Class C, Class D, Class E, Class F, and Class X notes of Finance Ireland 3.
These rating actions are the result of an entire review of the transactions following the upgrade to AA (low) from A (high) of the Republic of Ireland’s Long-Term Foreign and Local Currency on 14 January 2022. As a consequence of the upgrade, DBRS Morningstar placed the aforementioned tranches UR-Pos. on 31 January 2022.

The rating actions are also based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults and losses as of the March 2022 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables; and
-- Current available credit enhancement to the notes to cover the expected losses at their respective rating levels.
The Issuers are static securitisations of Irish first-lien residential mortgages originated primarily by Finance Ireland Credit Solutions DAC (Finance Ireland) as well as Pepper Finance Corporation (Ireland) DAC (Pepper), which also acts as the servicer of the mortgage portfolios. Finance Ireland 1 closed in July 2019 with an initial portfolio balance of EUR 290.2 million; Finance Ireland 2 closed in September 2020 with an initial portfolio balance of EUR 295.2 million; while Finance Ireland 3 closed in June 2021 with an initial portfolio balance of EUR 297.5 million.
PORTFOLIO PERFORMANCE
As of the March 2022 payment date, loans one to two and two to three months in arrears in Finance Ireland 1 represented 0.4% and 0.2% of the outstanding portfolio balance, respectively, while the 90+ days delinquency ratio was 1.2%. Loans one to two and two to three months in arrears in Finance Ireland 2 represented 0.3% and 0.0% of the outstanding portfolio balance, respectively, while the 90+ days delinquency ratio was 0.2%. Loans one to two and two to three months in arrears in Finance Ireland 3 represented 0.2% and 0.2% of the outstanding portfolio balance, respectively, while the 90+ days delinquency ratio was 0.1%. Across all three transactions, there have not been any repossessions or cumulative losses reported to date.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pools of receivables and has updated its base case PD and LGD assumptions for Finance Ireland 1 to 1.1% and 6.1%, respectively; for Finance Ireland 2, to 1.2% and 8.4%, respectively; and for Finance Ireland 3, to 1.3% and 12.6%, respectively.
CREDIT ENHANCEMENT
Credit enhancement to the respective rated notes is provided by subordination of junior classes and the general reserve fund. As of the March 2022 payment date, the credit enhancements available to the Class A, Class B, Class C, Class D, and Class E notes of Finance Ireland 1 were 27.2%, 17.9%, 12.8%, 8.1%, and 4.7%, respectively, up from 22.2%, 14.3%, 10.0%, 7.2%, and 4.3% at the time of the last annual review, respectively. Credit enhancement available to the Class A, Class B, Class C, Class D, Class E, and Class F notes of Finance Ireland 2 were 19.6%, 12.8%, 9.2%, 6.1%, 3.8%, and 2.7%, respectively, up from 18.7%, 12.2%, 8.7%, 5.8%, 3.6%, and 2.6% at the time of the last annual review, respectively. Credit enhancement available to the Class A, Class B, Class C, Class D, Class E, Class F, and Class X notes of Finance Ireland 3 were 17.9%, 11.7%, 8.3%, 5.2%, 3.1%, 2.1%, and 0.9%, respectively, up from 17.2%, 11.2%, 8.0%, 5.0%, 3.0%, 2.0%, and 0.0% at the time of the DBRS Morningstar initial rating, respectively.
The transactions benefit each from a liquidity reserve fund and a general reserve fund, providing liquidity support and credit support to the structures, respectively.
The liquidity reserve funds are available to cover senior fees and interest on the respective Class A notes, and are currently at their target levels of EUR 2.1 million, EUR 2.2 million, and EUR 1.8 million for Finance Ireland 1, Finance Ireland 2, and Finance Ireland 3, respectively, equal to 1.50%, 1.00%, and 0.75% of the outstanding principal balance of the respective Class A notes, respectively. The liquidity reserve fund of Finance Ireland 3 additionally has a floor at EUR 1.0 million.
The general reserve funds are available to cover senior fees, interest, and principal (via the principal deficiency ledgers) on the respective rated notes. The general reserve funds are currently at their target levels of EUR 574,500, EUR 441,000, and EUR 339,975 for Finance Ireland 1, Finance Ireland 2, and Finance Ireland 3, respectively, equal to 1.50%, 1.00%, and 0.75% of the outstanding principal balance of the respective rated notes in each transaction, minus the respective liquidity reserve target amount.
Elavon Financial Services DAC (Elavon) acts as the account bank for the transactions. Based on the DBRS Morningstar private rating of Elavon, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structures, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the ratings assigned to the rated notes in the transactions, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.
Bank of America Securities Europe S.A. (BAS Europe) acts as the swap provider for Finance Ireland 1, with their obligations under the swap agreement guaranteed by the Bank of America Corporation (BAC), while BNP Paribas SA acts as the swap provider for Finance Ireland 2 and Finance Ireland 3. DBRS Morningstar's private rating of BAS Europe, public Long-Term Issuer rating of BAC at A (high), and public Long-Term Critical Obligations Rating of BNP Paribas SA at AA (high) are above the First Rating Threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.

The last rating action on the three transactions took place on 31 January 2022 when some of the ratings were placed UR-Pos. Prior to that, the last rating action on Finance Ireland 1 took place on 23 July 2021, when DBRS Morningstar confirmed its ratings on the Class A and Class B notes at AAA (sf) and AA (high) (sf), respectively, and upgraded its ratings on the Class C, Class D and Class E Notes to AA (sf), A (high) (sf), and BBB (sf) from A (high) (sf), BBB (sf), and BB (sf), respectively.
The last rating action on Finance Ireland 2 took place on 24 September 2021, when DBRS Morningstar confirmed its ratings on the Class A and Class B notes at AAA (sf) and AA (high) (sf), respectively, and upgraded its ratings on the Class C, Class D, Class E and Class F Notes to AA (low) (sf), A (sf), BBB (low) (sf) and BB (high) (sf) from A (high) (sf), BBB (high) (sf), BB (high (sf) and BB (low) (sf), respectively.
The last rating action on Finance Ireland 3 took place on 24 June 2021, when DBRS Morningstar finalised its provisional ratings on the Class A, Class B, Class C, Class D, Class E, Class F, and Class X notes at AAA (sf), AA (sf), A (sf), BBB (sf), BB (high) (sf), B (high) (sf), and BB (low) (sf), respectively.
The lead analyst responsibilities for Finance Ireland 3 have been transferred to Daniel Rakhamimov.

To assess the impact of changing the transaction parameters on the ratings, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the ratings (the base case):
-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for Finance Ireland 1 are 1.1% and 6.1%, respectively; the base case PD and LGD of the current pool of loans for Finance Ireland 2 are 1.2% and 8.4%, respectively; the base case PD and LGD of the current pool of loans for Finance Ireland 3 are 1.3% and 12.6%, respectively.
