DBRS Morningstar Upgrades and Confirms Ratings on Asset-Backed European Securitisation Transaction Seventeen S.r.l.
AutoDBRS Ratings GmbH (DBRS Morningstar) took the following rating actions on the notes issued by Asset-Backed European Securitisation Transaction Seventeen S.r.l. (the Issuer):
-- Class A Notes confirmed at AAA (sf)
-- Class B Notes confirmed at AA (high) (sf)
-- Class C Notes confirmed at AA (low) (sf)
-- Class D Notes upgraded to BBB (high) (sf) from BBB (low) (sf)
-- Class E Notes upgraded to BBB (sf) from B (high) (sf)
The rating on the Class A Notes addresses the timely payment of interest and the ultimate payment of principal on or before the legal final maturity date in April 2032. The ratings on the Class B, Class C, Class D, and Class E Notes address the ultimate payment of interest and principal on or before the legal final maturity date when junior and the timely payment of interest when they are the senior-most tranche outstanding.
The rating actions follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables;
-- Current available credit enhancement to the notes to cover the expected losses at their respective rating levels; and
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.
The transaction represents the issuance of Class A, Class B, Class C, Class D, Class E (collectively, the Rated Notes), and Class M Notes (together with the Rated Notes, the Notes) backed by a pool of receivables related to loans for new and used motor vehicles granted and serviced by FCA Bank S.p.A. (FCAB). The loans were granted to individuals residing in Italy and enterprises with registered offices in Italy.
The transaction was initially structured with a 14-month revolving period, which ended following the payment date in December 2020. Since the payment date on July 2021, the Notes have been amortising on a pro rata basis, following a six-month period of sequential amortisation after the end of the revolving period.
PORTFOLIO PERFORMANCE
As of October 2021, loans two to three months in arrears represented 0.0% of the outstanding portfolio balance, the 90+-day delinquency ratio was 0.1%, and the gross cumulative default amounted to 0.2% of the aggregate initial and additional portfolio balance.
PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and updated its base case PD and LGD assumptions to 2.0% and 85.0%, respectively.
CREDIT ENHANCEMENT
As of the October 2021 payment date, credit enhancement to the Class A, Class B, Class C, Class D, and Class E Notes was 12.3%, 8.6%, 6.1%, 2.9%, and 1.6%, up from 10.0%, 7.0%, 5.0%, 2.4%, and 1.3% during the revolving period, respectively.
The transaction benefits from a nonamortising cash reserve, funded at closing by applying part of the proceeds from the issuance of the Class M Notes. The cash reserve is currently funded to its target level of EUR 12.6 million and is available to cover shortfalls in senior costs (expenses and senior fees), swap payments, and interest on the Rated Notes.
BNP Paribas Securities Services, Milan Branch (BNP Milan) acts as the account bank for the transaction. Based on DBRS Morningstar’s private rating on BNP Milan, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the Class A Notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.
FCAB acts as the swap counterparty for the transaction while UniCredit Bank AG and Crédit Agricole Corporate & Investment Bank act as joint standby swap counterparties. DBRS Morningstar's private rating on FCAB is consistent with the First Rating Threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.
DBRS Morningstar analysed the transaction structure in Intex DealMaker.
The Coronavirus Disease (COVID-19) and the resulting isolation measures have caused an immediate economic contraction, leading in some cases to increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may continue to increase in the coming months for many structured finance transactions. The ratings are based on additional analysis to expected performance as a result of the global efforts to contain the spread of the coronavirus.

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.

-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A Notes would be expected to remain at AAA (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A Notes would be expected to fall to AA (high) (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A Notes would be expected to fall to AA (sf).
