DBRS Morningstar Confirms Ratings on Golden Bar (Securitisation) S.r.l. - Series 2020-1

DBRS Ratings GmbH (DBRS Morningstar) confirmed its ratings on the Class A 2020-1 and Class B 2020-1 Notes issued by Golden Bar (Securitisation) S.r.l. - Series 2020-1 (the Issuer) at A (high) (sf) and BBB (sf), respectively.

The rating on the Class A 2020-1 Notes addresses the timely payment of interest and the ultimate repayment of principal by the legal final maturity date in September 2044. The rating on the Class B 2020-1 Notes addresses the ultimate payment of interest and principal by the legal final maturity date.

The confirmations follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses as of the December 2020 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables;
-- Current available credit enhancement to the notes to cover the expected losses at their respective rating levels;
-- No revolving period termination events have occurred;
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.

The Issuer is a securitisation of Italian receivables originated and serviced by Santander Consumer Bank S.p.A (SCB). The original portfolio of EUR 746.5 million was granted to private individuals resident in Italy, and consisted of personal loans (33.6%); loans granted for purchase of durable goods and services (3.2%); and both standard amortising (3.1%) and balloon (60.1%) auto loans. The transaction closed in February 2020 and has a 24-month revolving period scheduled to end in March 2022, after which the notes will begin to amortise, sequentially. Concentration limits are in place to limit any negative evolution of the portfolio, and performance triggers are included in the revolving period termination events. To date, no triggers have been breached.

PORTFOLIO PERFORMANCE
As of the December 2020 payment date, one-to two-month and two-to three-month delinquencies represented 0.2% and 0.1% of the portfolio balance, respectively. Gross cumulative defaults amounted to 0.5% of the aggregate initial portfolio balance, with cumulative recoveries of 7.1% to date.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the pool of receivables and maintained its base case PD and LGD assumptions at 6.9% and 82.4%, respectively, based on the worst-case portfolio composition.

CREDIT ENHANCEMENT
The subordination of the respective junior obligations provides credit enhancement to the rated notes. As of the December 2020 payment date, credit enhancements to the Class A 2020-1 and Class B 2020-1 Notes were 15.7% and 9.0%, respectively. The credit enhancement levels have remained unchanged since the DBRS Morningstar initial rating as the transaction is still in the revolving period.

The transaction benefits from an amortising cash reserve, currently at its target level of EUR 8.5 million, available to cover senior expenses and interest payments on the Class A 2020-1 and Class B 2020-1 Notes, as well as any amount debited to the principal deficiency ledgers for the rated notes. Additionally, a set-off reserve is expected to be funded and become available to the Issuer if the rating of the servicer’s owner, Santander Consumer Finance S.A., falls below BBB or it ceases to own 100% of the share capital of the originator.

Banco Santander SA (Santander) acts as the Spanish Account Bank for the transaction while Citibank N.A., Milan Branch (Citibank-Milan) acts as the Italian Account Bank. Based on the account bank reference rating of Santander at A (high), one notch below the DBRS Morningstar Long-Term Critical Obligations Rating (COR) of AA (low), the DBRS Morningstar private rating of Citibank-Milan, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account banks to be consistent with the ratings assigned to the notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

DBRS Morningstar analysed the transaction structure in Intex DealMaker.

The Coronavirus Disease (COVID-19) and the resulting isolation measures have caused an economic contraction, leading to sharp increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may continue to increase in the coming months for many ABS transactions, some meaningfully. The ratings are based on additional analysis and, where appropriate, adjustments to expected performance as a result of the global efforts to contain the spread of the coronavirus. For this transaction, DBRS Morningstar conducted additional sensitivity analysis to determine that the transaction benefits from sufficient liquidity support to withstand high levels of payment holidays in the portfolio. As of the December 2020 payment date, 6.2% of the outstanding portfolio balance had a payment moratorium.

To assess the impact of changing the transaction parameters on the ratings, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the ratings (the base case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 6.9% and 82.4%, respectively.
-- The Risk Sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A 2020-1 Notes would be expected to decrease to A (sf), ceteris paribus. If the PD increases by 50%, the rating of the Class A 2020-1 Notes would be expected to decrease to BBB (high) (sf), ceteris paribus. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A 2020-1 Notes would be expected to decrease to BBB (sf).
