DBRS Morningstar Confirms Rating of Auto ABS UK Loans 2019 Plc

DBRS Ratings Limited (DBRS Morningstar) confirmed its AAA (sf) rating of the Class A Notes issued by Auto ABS UK Loans 2019 Plc (the Issuer).

The rating of the Class A Notes addresses the timely payment of interest and the ultimate payment of principal on or before the legal final maturity date in November 2027.

The confirmation follows an annual review of the transaction and is based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the October 2020 payment date.
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables.
-- Current available credit enhancement to the Class A Notes to cover the expected losses at the AAA (sf) rating level.
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.
-- No revolving termination events have occurred.

The Issuer is a securitisation of personal contract purchase and conditional sale auto loan contracts granted by PSA Finance UK Limited (PSA Finance) to borrowers in England, Scotland, Wales, and Northern Ireland. The transaction closed in November 2019 with an initial portfolio balance of GBP 252.0 million and included a 12-month revolving period, which is scheduled to terminate in December 2020. There are concentration limits and eligibility criteria to mitigate the potential portfolio performance deterioration, which have all been passing to date.

PORTFOLIO PERFORMANCE
As of October 2020, loans two to three months in arrears represented 0.1% of the outstanding portfolio balance and the 90+ delinquency ratio was 0.1%, both up from 0.0% since closing. Gross cumulative defaults amounted to 0.3% of the aggregate initial and additional portfolio balance.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted an analysis of the current pool of receivables including additional coronavirus-related adjustments and updated its base case PD and LGD assumptions to 3.6% and 33.1%, respectively. The PD and LGD assumptions are based on updated quarterly historical vintage data received from PSA Finance and continue to be based on the worst-case portfolio composition given the transaction is still in its revolving period.

CREDIT ENHANCEMENT
As of the October 2020 payment date, credit enhancement to the Class A Notes was 20.5%, stable since closing due to the transaction revolving period ending in December 2020.

The transaction benefits from an amortising reserve fund, funded at closing to GBP 3.0 million through a subordinated loan granted by PSA Finance. The reserve provides liquidity support to the transaction and is available to cover senior fees and expenses and interest on the Class A Notes. The reserve amortises subject to an amortisation threshold (when the Class A Notes have amortised to less than 50% of their initial balance), with a target balance equal to the higher of 3% of the outstanding Class A Notes balance at the preceding calculation date and 1% of the initial Class A Notes balance. As of the October 2020 payment date, the reserve is equal to its target balance of GBP 3.0 million.

Santander U.K. plc acts as the account bank for the transaction. Based on the DBRS Morningstar private rating of Santander U.K. plc, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the Class A Notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

Banco Santander S.A. London Branch acts as the swap counterparty for the transaction. DBRS Morningstar's private rating of Banco Santander S.A. London Branch is above the First Rating Threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.

DBRS Morningstar analysed the transaction structure in Intex DealMaker.

The Coronavirus Disease (COVID-19) and the resulting isolation measures have caused an economic contraction, leading to sharp increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may increase in the coming months for many ABS transactions, some meaningfully. The ratings are based on additional analysis and adjustments to expected performance as a result of the global efforts to contain the spread of the coronavirus. For this transaction, DBRS Morningstar applied a haircut to its expected recovery rate, increased its expected PD for commercial borrowers, and conducted additional sensitivity analysis to determine that the transaction benefits from sufficient liquidity support to withstand high levels of payment holidays in the portfolio. As of the October 2020 payment date, around 5.0% of the outstanding portfolio was in a payment holiday.

To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the Base Case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the pool of loans for the Issuer are 3.6% and 33.1%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A Notes would be expected to fall to AA (high) (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A Notes would be expected to fall to AA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A Notes would be expected to fall to A (high) (sf).
