DBRS Morningstar Confirms Rating on Matsuba 2016 B.V.

DBRS Ratings Limited (DBRS Morningstar) confirmed its rating on the Class A Notes (the Notes) issued by Matsuba 2016 B.V. (the Issuer) at AAA (sf).

The rating on the Class A Notes addresses the timely payment of interest and ultimate payment of principal on or before the legal final maturity date.

The confirmation follows an annual review of the transaction and is based on the following analytical considerations:

-- Portfolio performance, in terms of delinquencies, defaults and losses, as of the August 2020 payment date.
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables.
-- Current available credit enhancement to the Notes to cover the expected losses at the AAA (sf) level.
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.

Matsuba 2016 B.V. is a securitisation of amortising general-purpose consumer loans granted to individual borrowers residing in the Netherlands. The originators and servicers of the loans are various directly or indirectly owned subsidiaries of Crédit Agricole Consumer Finance Nederland B.V. (CACF NL). The transaction closed in October 2016 and its legal final maturity date is on the payment date in November 2035. The transaction had a one-year revolving period which ended on the payment date in October 2017.

PORTFOLIO PERFORMANCE
As of the August 2020 payment date, two- to three-month arrears represented 0.2% of the outstanding portfolio balance, stable from last annual review, while the 90+ delinquency ratio was 0.0%, down from 0.1% at last annual review. As of the August 2020 payment date, the cumulative default ratio was 1.0%. 34.1% of the outstanding portfolio balance has a maturity between six and seven years leading to a weighted-average remaining maturity of 59 months. As of the August 2020 payment date, no loans had been subject to a payment deferrals in the context of the coronavirus pandemic.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and has maintained its base case PD and LGD assumptions at 4.3% and 87.0%, respectively.

CREDIT ENHANCEMENT
The credit enhancement to the Notes consists of the subordination of the Class B Notes. The credit enhancement available to the Notes increased to 60.4% from 35.9% since last annual review.

The transaction benefits from a liquidity reserve, which can be used to cover senior expenses, swap payments, and interest shortfall on the Notes. The liquidity reserve has been amortising since the end of the revolving period and is currently at its target and floor amount of EUR 2.4 million.

The transaction also benefits from a commingling reserve fund of EUR 4.8 million, currently at its target amount. The commingling reserve fund can be used as part of available funds for the collection amounts not received by the Issuer each month.

BNG Bank N.V. acts as the account bank for the transaction. Based on the DBRS Morningstar private rating of BNG Bank N.V., the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the Notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

Credit Agricole Corporate & Investment Bank (CACIB) acts as the swap counterparty for the transaction. DBRS Morningstar's private rating of CACIB is above the First Rating Threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.

DBRS Morningstar analysed the transaction structure in Intex DealMaker.

The Coronavirus Disease (COVID-19) and the resulting isolation measures have caused an economic contraction, leading to sharp increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may arise in the coming months for many ABS transactions, some meaningfully. The rating is based on additional analysis as a result of the global efforts to contain the spread of the coronavirus.

To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the Base Case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 4.3% and 87.0%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A Notes would be expected to remain at AAA (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A Notes would be expected to remain at AAA (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A Notes would be expected to remain at AAA (sf).
