Press Release

DBRS Morningstar Confirms Ratings on ICCREA SME CART 2016 S.r.l.

Consumer/Commercial Leases
July 24, 2020

DBRS Ratings GmbH (DBRS Morningstar) confirmed its AA (low) (sf) and A (high) (sf) ratings on the Class A2 and Class B notes, respectively, issued by ICCREA SME CART 2016 S.r.l. (the Issuer).

Both ratings address the timely payment of interest and the ultimate payment of principal on or before the legal final maturity date in September 2042.

The confirmations follow an annual review of the transaction and are based on the following analytical considerations:

-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the June 2020 payment date.
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables.
-- Current available credit enhancement to the notes to cover expected losses at their respective rating levels
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.

ICCREA SME CART 2016 S.r.l. is a securitisation of lease receivables originated and serviced by Iccrea BancaImpresa S.p.A. The lessees are corporates, small businesses, and individual enterprises with their registered offices in Italy, while the pool comprises real estate, auto, industrial vehicles, and equipment lease receivables. The residual value of the lease contracts is not securitised, therefore the Issuer is not exposed to any residual value risk.

The transaction featured a two-year revolving period, which ended on the December 2018 payment date. The Class A1 and Class D notes were fully redeemed on the June 2019 and December 2019 payment dates, respectively.

PORTFOLIO PERFORMANCE

The portfolio is performing within DBRS Morningstar’s initial expectations. As of the June 2020 cut-off date, loans that were two to three months in arrears represented 0.6% of the outstanding portfolio balance, up from 0.2% on the June 2019 cut-off date. The 90+ delinquency ratio was 0.3%, slightly down from 0.5% as of the June 2019 cut-off date. The gross cumulative default ratio stood at 2.1% of the initial portfolio balance (including additional portfolios), increasing from 1.4% last year.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS

DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and has updated its base case PD and LGD assumptions as follows:

Class A2 Notes to 27.5% and 83.7%, respectively.
Class B Notes to 27.5% and 83.5%, respectively.

CREDIT ENHANCEMENT

Overcollateralisation of the outstanding collateral portfolio provides credit enhancement and includes the debt service reserve. As of the June 2020 payment date, credit enhancement to the Class A2 and Class B Notes was 78.0% and 70.7%, respectively, up from 62.5% and 56.8%, respectively, as of the June 2019 payment date.

The transaction benefits from an amortising debt service reserve, which is available to cover shortfalls on senior fees, expenses, and interest payments on the rated notes. The reserve is currently at its target level of EUR 6.1 million, or 2.0% of the rated notes outstanding balance. The floor is equal to EUR 3.0 million.

Citibank N.A./Milan Branch acts as the account bank for the transaction. Based on the DBRS Morningstar private rating of Citibank N.A./Milan Branch, the downgrade provisions outlined in the transaction documents, and structural mitigants inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the ratings assigned to the rated notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

DBRS Morningstar analysed the transaction structure in Intex DealMaker.

The Coronavirus Disease (COVID-19) and the resulting isolation measures have caused an economic contraction, leading to sharp increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may arise in the coming months for many ABS transactions, some meaningfully. The ratings are based on additional analysis and adjustments to expected performance as a result of the global efforts to contain the spread of the coronavirus. For this transaction, DBRS Morningstar increased the expected default rate for obligors in certain industries based on their perceived exposure to the adverse disruptions of the coronavirus. In addition, DBRS Morningstar conducted additional sensitivity analysis to determine that the transaction benefits from sufficient liquidity support to withstand high levels of payment holidays in the portfolio. Reported payment holidays were also considered in the cash flow analysis.

On 16 April 2020, the DBRS Morningstar Sovereign group released a set of macroeconomic scenarios for the 2020-22 period in select economies. These scenarios were last updated on 22 July 2020. The DBRS Morningstar analysis considered impacts consistent with the moderate scenario in the referenced reports.

To assess the impact of changing the transaction parameters on the ratings, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the ratings (the Base Case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.

-- The base case PD and LGD of the current pool of loans for the Issuer are 27.5% and 83.7%, respectively, for the Class A2 Notes, and 27.5% and 83.5%, respectively, for the Class B Notes.
-- The Risk Sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. Taking the Class A2 Notes as example, if the LGD increases by 50%, the rating of the Class A2 Notes would be expected to fall to A (high) (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A2 Notes would be expected to fall to A (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A2 Notes would be expected to fall to BBB (high) (sf).

Class A2 Notes Risk Sensitivity:
-- 25% increase in LGD, expected rating of A (high) (sf)
-- 50% increase in LGD, expected rating of A (high) (sf)
-- 25% increase in PD, expected rating of A (sf)
-- 50% increase in PD, expected rating of A (sf)
-- 25% increase in PD and 25% increase in LGD, expected rating of A (low) (sf)
-- 25% increase in PD and 50% increase in LGD, expected rating of A (low) (sf)
-- 50% increase in PD and 25% increase in LGD, expected rating of BBB (high) (sf)
-- 50% increase in PD and 50% increase in LGD, expected rating of BBB (high) (sf)

Class B Notes Risk Sensitivity:
-- 25% increase in LGD, expected rating of A (sf)
-- 50% increase in LGD, expected rating of A (sf)
-- 25% increase in PD, expected rating of A (sf)
-- 50% increase in PD, expected rating of A (low) (sf)
-- 25% increase in PD and 25% increase in LGD, expected rating of A (low) (sf)
-- 25% increase in PD and 50% increase in LGD, expected rating of A (low) (sf)
-- 50% increase in PD and 25% increase in LGD, expected rating of BBB (sf)
-- 50% increase in PD and 50% increase in LGD, expected rating of BBB (sf)
